Indagium End User License Agreement

Version: 1.0.0

Scope and acceptance

This EULA governs official Indagium binary distributions supplied by Roman Arnaut (the licensor), including the application delivered through installers and portable packages. The publicly available source code is separately licensed under the PolyForm Perimeter License. Third-party components remain governed by their respective licenses.

By selecting Accept, you accept this EULA for yourself or, if you have authority to do so, for the organization on whose behalf you install or use the application. If you do not accept, select Decline & Exit and do not use the official application under this EULA. Merely obtaining third-party source code or exercising rights under another license does not require acceptance of this EULA.

This EULA applies to official releases that include it. It does not replace the terms supplied with earlier releases, or withdraw rights independently obtained under the source-code license or another agreement.

Free use and permitted copies

The licensor grants you a non-exclusive, worldwide license to install, run, and use the official application for commercial and non-commercial purposes. The free functionality is available without a license fee or mandatory subscription. You may deploy the application on your own devices and within your organization, provide access to your authorized personnel for that organization's use, and make the internal deployment and backup copies reasonably needed for those purposes. There is no per-seat or per-device fee for the free functionality.

The license for the free functionality in the version you receive continues subject to this EULA; it does not expire merely because you do not buy, renew, or continue an optional subscription. This does not promise that any particular future version or new feature will be provided free of charge, or that updates or support will be provided indefinitely.

Optional premium functionality

Indagium may offer optional premium functionality through a paid subscription or another expressly stated paid entitlement. Buying it is optional and is not required to use the free functionality.

The price, included features, subscription period, and any renewal, cancellation, refund, or account conditions must be disclosed in the applicable purchase terms before you agree to pay. This EULA alone does not enroll you in a subscription, authorize a charge, or establish automatic renewal. Paid functionality may be used only within the entitlement granted to you. When an entitlement ends, the associated premium functionality may cease to be available; your license to the free functionality is not terminated solely for that reason. Mandatory consumer rights remain unaffected.

Distribution and modifications of official binaries

Except as permitted below, by applicable law, or by a separate written agreement with the licensor, you may not publicly redistribute, resell, rent, sublicense, or provide official Indagium binaries to third parties outside the internal use permitted above. You may not distribute modified or rebranded versions of those binaries, remove their required notices, or bypass payment or entitlement controls for Indagium's premium functionality.

These restrictions concern the official Indagium application licensed under this EULA. They do not restrict rights granted under the separate public source-code license, nor the rights described in Third-party components and statutory rights. This EULA does not prohibit your organization from developing, using, or selling unrelated products, including products that compete with Indagium, or from using Indagium in its ordinary business activities.

Third-party components and statutory rights

Third-party components are not relicensed under this EULA. Their copyright holders retain their rights. Their applicable license texts, notices, and source-acquisition instructions are provided with the application, including in its Third-party licences viewer and the bundled legal documents. For each such component, its own license controls in the event of a conflict with this EULA.

Nothing in this EULA restricts any copying, distribution, modification, replacement, recombination, relinking, or other activity permitted by a third-party license. In particular, you may modify and replace LGPL-covered libraries with compatible versions, and modify the combined work for your own use and reverse engineer the application to debug such modifications to the extent permitted or required by the applicable LGPL terms. You may use the application with those compatible modified libraries. No restriction on modification, redistribution, payment-control bypass, or reverse engineering in this EULA overrides those rights. Any information and materials required for exercising them must remain available under the applicable license terms.

Nothing in this EULA restricts rights that applicable law does not allow the licensor to restrict, including applicable rights concerning interoperability, observation, testing, study, backup copies, or reverse engineering. Exercising these reserved rights is not a breach of this EULA. This EULA does not grant access to someone else's accounts, credentials, or services without authorization.

Termination of this EULA does not itself terminate any rights independently granted by third-party licenses or the public source-code license. Any conditions or termination provisions in those licenses apply separately.

Ownership and notices

The official application is licensed, not sold. The licensor and the applicable third-party rights holders retain their intellectual property rights. This EULA does not claim ownership of your logs, files, prompts, or other content, or transfer ownership of that content to the licensor.

Retain the notices supplied with permitted copies. The Indagium name, logo, and branding may be displayed as part of ordinary use of the official application and used to identify it accurately. No right is granted to use them to brand another product or imply sponsorship or endorsement. Third-party trademark rights remain with their owners.

Third-party services and AI features

Some features connect to services that the licensor does not operate, such as AI model providers and AI agent tools you configure with your own accounts or keys, issue trackers you connect, Android devices you attach, and GitHub for update checks and downloads. Your use of those services is governed by the terms and privacy policies between you and their providers. The licensor is not a party to them and is not responsible for their availability, cost, security, or handling of your content.

Content is sent to such a service only when you configure it and use a feature that relies on it. You are responsible for having the right to send your logs, recordings, screenshots, source code, and other content to the services you choose, and for meeting any confidentiality, privacy, or data-protection obligations that apply to that content.

AI output, including analyses, notes, diagrams, test verdicts, and issue drafts, can be incomplete, inaccurate, or misleading. Review it before relying on it. AI agents and automated test runs act on connected devices and within the application as you configure them, including by sending input and commands to those devices. Use them only with devices, accounts, and data you are permitted to use in that way. The optional local control server lets programs on your computer operate the application; enable it only for programs you trust.

Termination

You may terminate your use under this EULA at any time. The licensor may terminate this EULA for a material breach if you do not remedy it within 30 days after written notice identifying the breach. On termination, stop using and remove the copies of the official application licensed solely under this EULA. This requirement does not apply to your own content or copies and components that you remain entitled to possess or use under an independent license or applicable law.

Any separately agreed purchase terms and mandatory rights govern the consequences for a paid entitlement. The ownership, reserved-rights, warranty, and liability provisions continue to apply as appropriate.

Warranty and liability

To the extent permitted by applicable law, the application is provided as is and as available, without warranties or conditions of any kind, including merchantability, fitness for a particular purpose, and non-infringement. The licensor does not promise uninterrupted or error-free operation. You are responsible for evaluating the application for your purposes and protecting your data.

To the extent permitted by applicable law, the licensor will not be liable for damages arising from the application or this EULA, including lost profits, loss of data, or interruption of business. Where liability cannot lawfully be excluded but can lawfully be limited, the licensor's total liability arising from the application and this EULA is limited to the greater of the amounts you paid the licensor for Indagium in the twelve months before the event giving rise to the claim and fifty euros (EUR 50). Nothing in this EULA excludes or limits liability that cannot lawfully be excluded or limited, such as liability for intent, for death or personal injury, or under mandatory product liability law, and nothing in it removes mandatory statutory remedies. Any additional warranty, support, or other obligation expressly undertaken by the licensor is undertaken by the licensor alone, not by any upstream contributor.

Changes and other agreements

A new EULA applies to a new application version only when supplied with that version and accepted by you. Publishing revised terms does not retrospectively replace the terms for a copy you already received. A separate written agreement with the licensor may grant additional rights. Third-party licenses and independently granted source-code rights remain separate in all cases.

If a provision cannot be enforced, the remaining provisions continue to apply to the extent permitted by law. No governing law, exclusive court, arbitration requirement, or additional audit or telemetry permission is selected by this EULA.
